The agreement between you and Monorail Protocol Limited that governs your use of Signal

Introduction

Section 1

These Terms of Service ("Terms") form a binding agreement between you and Monorail Protocol Limited, a company registered in the British Virgin Islands at Quijano Chambers, Road Town, Tortola, British Virgin Islands 3159 ("Monorail", "we", "us", "our"), and govern your use of Signal (the "Service"), available at getsignal.trade and through any related interfaces or applications we provide.

By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

What Signal is

Section 2

Signal is an information and order-routing interface for the Polymarket prediction market. Signal is:

  • A non-custodial frontend. You sign in via our authentication provider, Turnkey, which provisions a wallet that you control. Monorail does not hold, control, or have access to your funds, private keys, or positions.
  • An aggregator and order-routing tool. When you place a trade through Signal, the order is signed by your wallet and sent directly to Polymarket. Signal does not act as a counterparty, broker, dealer, exchange, market maker, custodian, or fiduciary, and does not intermediate, settle, or clear trades.
  • Independent of Polymarket.Signal is not operated by, affiliated with, endorsed by, or partnered with Polymarket. Your use of Polymarket is governed by Polymarket's own terms and policies; you are responsible for reviewing and complying with them.

Eligibility

Section 3

By using the Service you represent and warrant that:

  • you are at least 18 years old;
  • you have full legal capacity to enter into these Terms;
  • you are not located, resident, or accessing the Service from a Restricted Jurisdiction (Section 4);
  • you will use the Service only for lawful purposes and in compliance with all laws that apply to you, including tax, securities, gambling, and prediction-market laws in your jurisdiction;
  • you maintain only one account on the Service.

You are solely responsible for determining whether your use of the Service is lawful in your location.

Restricted jurisdictions

Section 4

Because Signal routes orders to Polymarket, you may not use the Service if you are located, resident, or accessing the Service from any jurisdiction that Polymarket restricts. We follow Polymarket's restricted-jurisdiction list as it stands from time to time. As of the effective date, this includes (without limitation): Australia, Belarus, Belgium, Burundi, Central African Republic, Congo (Kinshasa), Cuba, France, Germany, Ethiopia, Iran, Iraq, Italy, Japan, Lebanon, Libya, Myanmar, Netherlands, Nicaragua, North Korea, Poland, Russia, Singapore, Somalia, South Sudan, Sudan, Syria, Taiwan, Thailand, the United Kingdom, the United States (including U.S. Minor Outlying Islands), Venezuela, Yemen, and Zimbabwe. Some of these jurisdictions are subject to close-only or other partial restrictions on Polymarket; we follow Polymarket's classification.

You may not use a VPN, proxy, or any other tool to circumvent these restrictions. We may block, suspend, or terminate accounts where we have reason to believe the user is in a Restricted Jurisdiction.

Accounts and wallets

Section 5

To use the Service, you sign in using email or a supported social login through Turnkey. Turnkey provisions an embedded wallet that you control.

You are solely responsible for:

  • maintaining the security of your login credentials and any device used to access the Service;
  • maintaining access to and control of the email account, social-login account, or other authentication factors associated with your wallet;
  • the accuracy of information you provide;
  • all activity that occurs under your account.

If you lose access to your authentication factors, we may not be able to recover your wallet or restore access for you. Loss of access can result in loss of funds. Notify us immediately at [email protected] if you suspect unauthorised access to your account.

You may have only one account. Creating multiple accounts, transferring an account, or allowing another person to use your account is prohibited.

Fees

Section 6

Signal currently charges no fees of its own for use of the Service. We reserve the right to introduce fees in future. Where we do, we will disclose them in the Service before they apply, and your continued use of the Service after that disclosure constitutes acceptance.

You remain responsible for all third-party costs associated with your activity, including blockchain network fees ("gas"), Polymarket fees, and any fees charged by your wallet or authentication providers.

Acceptable use

Section 7

You agree not to:

  • use the Service in violation of any law, regulation, or third-party right;
  • access the Service from a Restricted Jurisdiction or circumvent our access controls;
  • use bots, scrapers, headless browsers, or any other automated means to access, interact with, or extract data from the Service, except where we explicitly authorise it;
  • conduct automated trading through the Service except where we explicitly provide and authorise such functionality;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent this restriction is prohibited by applicable law;
  • interfere with or disrupt the Service, our infrastructure, or other users;
  • attempt to gain unauthorised access to any part of the Service or any account that is not your own;
  • use the Service for money laundering, fraud, market manipulation, or any other illicit purpose;
  • impersonate any person or entity, or misrepresent your identity or jurisdiction.

We may, in our discretion, grant specific permissions for automation or programmatic access. Any such permission must be explicit and in writing from us.

Order routing and platform availability

Section 8

Trades placed through Signal are signed by your wallet and submitted directly to Polymarket. Signal does not execute trades, hold orders, or guarantee execution.

You acknowledge and agree that:

  • whether and when an order is accepted, matched, filled, partially filled, cancelled, or rejected is determined by Polymarket and the underlying blockchain, not by Signal;
  • network congestion, gas pricing, RPC provider availability, blockchain reorganisations, oracle behaviour, Polymarket downtime, smart-contract bugs, market resolution outcomes, and other conditions outside our control may delay, prevent, or affect the outcome of any trade;
  • Signal has no liability for any failure, delay, error, or unintended outcome in trade execution, order routing, settlement, or market resolution that arises from Polymarket, the underlying blockchain, oracle providers, RPC providers, your wallet, your network, or any other component we do not directly control;
  • the Service may be unavailable, suspended, or modified at any time, with or without notice, for maintenance, upgrades, security, regulatory, or operational reasons.

Informational features and no advice

Section 9

Signal may surface market information, statistics, suggested markets, weekly fixture pickers, in-game event prompts (for example, prompts triggered by a goal, penalty, or other live event that allow you to express a view on a market), and similar features.

These features are provided for informational and user-experience purposes only. They are not financial, investment, legal, tax, accounting, or any other form of professional advice; they are not a recommendation or solicitation to buy, sell, or hold any position; and they are not personalised to your circumstances. Any decision you make in response to such features is your own decision, made on your own analysis and at your own risk.

Where a feature surfaces a prompt that, if accepted, places a trade, you are responsible for reviewing the trade parameters before signing the transaction. Signing the transaction is your authorisation to place the trade.

Leaderboards and public information

Section 10

Signal displays leaderboards and similar public views that may include your username and wallet address(es) alongside trading-related metrics derived from on-chain activity. Wallet addresses and on-chain trading activity are inherently public information.

By using the Service, you agree that we may display this information publicly within the Service. You can change your username at any time within your account settings, subject to availability and our acceptable-use rules.

Referral programme

Section 11

Signal offers a referral programme that attributes new users to the user who invited them. Participation does not currently confer any monetary or other reward. We may modify, expand, or discontinue the referral programme at any time. Abuse of the referral programme (including self-referrals, fake accounts, or other circumvention) may result in suspension or termination of the accounts involved.

Intellectual property

Section 12

The Service, including its software, design, branding, text, and other content (excluding user-controlled wallet activity and on-chain data), is owned by Monorail or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. No other rights are granted by implication or otherwise.

"Signal", the Signal logo, "Monorail", and the Monorail logo are trademarks of Monorail. You may not use them without our prior written permission.

Risk disclosure

Section 13

Trading on prediction markets involves significant risk. By using the Service you acknowledge and accept the following risks (this is not an exhaustive list):

  • Total loss. You can lose the entire value of any position you open. Past performance is not indicative of future results.
  • Volatility. Prices on prediction markets can move sharply and without warning.
  • Smart-contract risk. Polymarket and related protocols rely on smart contracts that may contain bugs, vulnerabilities, or be exploited.
  • Oracle and resolution risk. Markets are resolved using external data. Resolution outcomes may be delayed, disputed, or differ from your expectations.
  • Blockchain risk. Network congestion, fee spikes, reorganisations, downtime, and validator behaviour can affect transactions.
  • Custody and key risk. Loss of access to your authentication factors or wallet can result in permanent loss of funds.
  • Regulatory risk. Prediction markets are regulated differently across jurisdictions; rules may change in ways that affect access, taxation, or legality.
  • No advice. Nothing in the Service is financial, investment, legal, or tax advice (see Section 9).

You are responsible for assessing whether the Service and prediction-market trading are appropriate for you, and for complying with all laws applicable to you, including tax obligations.

Disclaimers

Section 14

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, security, and uninterrupted operation.

We do not warrant that the Service will be available at any particular time, that it will be free of errors or vulnerabilities, that any trade will execute, settle, or resolve as you expect, or that any information displayed (including market data, prices, statistics, or prompts) is accurate, complete, or current.

Limitation of liability

Section 15

To the maximum extent permitted by law:

  • in no event will Monorail or its officers, directors, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, opportunity, or trading losses, whether based in contract, tort (including negligence), strict liability, or any other theory, even if we have been advised of the possibility of such damages;
  • our aggregate liability to you for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid to Monorail for use of the Service in the 12 months preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD 100).

Some jurisdictions do not allow certain limitations or exclusions of liability; in those jurisdictions, the limitations above apply to the fullest extent permitted by law.

Indemnification

Section 16

You agree to indemnify, defend, and hold harmless Monorail and its officers, directors, employees, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any trade, position, or activity you conduct via or in connection with the Service.

Termination

Section 17

We may suspend, restrict, or terminate your access to the Service at any time, in our sole discretion, with or without notice or cause, including where we believe you have violated these Terms, your access creates legal or regulatory risk, or you are located in a Restricted Jurisdiction.

Because the Service is non-custodial, termination of your account does not affect your ownership of your wallet or your funds. You will be permitted to close out existing positions and withdraw funds from your wallet using available tools, subject to network and Polymarket conditions and to applicable law.

You may stop using the Service at any time. Sections that by their nature should survive termination (including Sections 12–16, 18, 19, and 22) will survive.

Governing law

Section 18

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the British Virgin Islands, without regard to conflict-of-laws principles.

Dispute resolution; arbitration; class-action waiver

Section 19

Please read this section carefully — it affects your legal rights.

19.1 Binding arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by final and binding arbitration administered by the BVI International Arbitration Centre (BVI IAC) under its arbitration rules then in force.

  • Seat: Road Town, Tortola, British Virgin Islands.
  • Language: English.
  • Arbitrators: one (1) arbitrator, appointed in accordance with the BVI IAC rules.
  • Award:the arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

19.2 Class-action waiver

Disputes will be brought and resolved only on an individual basis. You and Monorail each waive any right to participate in a class action, collective action, consolidated action, or representative proceeding, and the arbitrator has no authority to combine claims or preside over any form of class or collective proceeding.

19.3 Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent infringement of intellectual-property rights or unauthorised use of the Service.

19.4 Informal resolution

Before initiating arbitration, you agree to contact us at [email protected] with a description of the Dispute and to attempt in good faith to resolve it informally for at least 30 days.

Force majeure

Section 20

Monorail will not be liable for any failure or delay in performance, or for any failure, delay, or unintended outcome in trade execution, order routing, settlement, or resolution, caused by events outside our reasonable control, including:

  • acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, sanctions, or changes in law;
  • failures, congestion, or downtime of the Polymarket platform, the underlying blockchain network, oracle providers, RPC providers, Turnkey, Cloudflare, or any other third-party infrastructure;
  • smart-contract vulnerabilities, exploits, blockchain reorganisations, or validator behaviour;
  • internet outages, denial-of-service attacks, or cyberattacks;
  • power, telecommunications, or hosting failures.

Failure to execute, complete, or settle a trade is not the responsibility of Signal. Trades are routed directly to Polymarket and executed on-chain; the outcome of any trade depends on Polymarket and the underlying blockchain, not on Signal.

Changes to these Terms

Section 21

We may update these Terms from time to time. When we do, we will revise the "Effective date" above and, where the changes are material, take additional steps to bring them to your attention (for example, an in-app notice). Your continued use of the Service after an update constitutes acceptance of the updated Terms. If you do not agree to an update, stop using the Service.

Miscellaneous

Section 22

  • Entire agreement. These Terms, together with our Privacy Policy and any other policies we publish in the Service, constitute the entire agreement between you and Monorail regarding the Service and supersede all prior agreements on the subject.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, restructuring, or sale of assets.
  • Headings. Headings are for convenience only and do not affect interpretation.
  • No third-party beneficiaries. These Terms do not confer rights on any third party, except where expressly stated.
  • Relationship. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Monorail.
